Terms of Service
Effective date:
1. The agreement
This is an agreement between you (or the organisation you represent) and Imperal, Inc. (“Imperal”, “we”). By creating an account or using the service you accept these terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so.
Our handling of personal data is described in the Privacy Policy, which forms part of this agreement.
2. Your account
- You must give accurate registration and billing details and keep them current.
- You are responsible for your credentials and for everything done under your account.
- You must be at least 16 years old, and old enough to enter a contract where you live.
- Tell us promptly if you believe your account has been accessed without your permission.
3. What Imperal provides
Imperal Cloud is a platform on which AI agents perform actions against systems you connect. You describe an outcome in your own language; the platform maps it to concrete actions, prices them, and carries them out within the permissions you granted.
The platform is built on the open ICNLI protocol. Extensions add capabilities, and each one declares what it can do and what it costs before you install it.
4. The agent acts for you
This clause matters more than the rest, so we state it plainly: when Webbee performs an action, it does so as your agent, on your instruction, using access you granted.
- Actions you request, including changes to servers, data, and third-party accounts, are your actions, and you are responsible for them.
- Prices are shown before an action runs, and actions that are destructive or otherwise significant require your explicit confirmation.
- Automations you create run on your behalf on the schedule or trigger you set, until you pause or delete them.
- Language models can be wrong. Review what the agent proposes before approving anything you would not undo easily, and keep your own backups of anything you cannot afford to lose.
You must not grant the platform access to a system you are not authorised to operate.
5. Plans, credits and payment
Plans
A plan unlocks the panel and includes a monthly allowance of credits. Paid plans renew automatically for successive periods until cancelled. A trial credit balance is available to evaluate the service, and a valid payment method is required to activate your account.
Credits
- A credit is the unit of work. Each action has one all-in price, the extension's own price plus the cost of the AI run that performs it.
- Credits included with your plan reset at the start of each billing period and do not carry over.
- Credits you purchase yourself do not expire; they remain in your wallet until used.
- If your balance runs out, actions stop until you top up. We do not run up overage charges behind your back.
Payment
Payments are processed by Stripe; card details go to Stripe directly and are never stored on our servers. Prices are exclusive of VAT, GST and similar taxes unless stated otherwise, and the tax that applies is determined by the billing details you provide. You authorise us to charge your saved payment method for renewals and for top-ups you request. If a charge fails we may retry it and may suspend paid features until it succeeds.
6. Cancellation and refunds
You can cancel a subscription at any time in the panel. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We do not pro-rate refunds for a period already under way.
Purchased credits are non-refundable once spent, since the work has already been performed. If something on our side went wrong, you were charged in error, or an action was billed that the platform failed to carry out, write to us and we will put it right. Nothing here removes a statutory right you have as a consumer.
7. Acceptable use
You agree not to use Imperal to:
- break the law, or help anyone else do so;
- access, scan or alter systems you have no authorisation to touch;
- send spam, run phishing, or distribute malware;
- infringe someone else's intellectual property or privacy;
- attack or degrade the platform, probing for vulnerabilities, evading metering or limits, or overwhelming shared infrastructure;
- resell or redistribute the service in a way that hides that Imperal is providing it, unless we have agreed that in writing;
- generate content that sexually exploits children, incites violence, or unlawfully harasses a person or group.
We may suspend an account immediately where use of it threatens the platform, another customer, or someone’s safety.
8. Your content and your connections
Your data stays yours. You grant us only the licence needed to operate the service for you: to store, process and transmit your content so the platform and its agents can carry out what you ask, including sending the relevant part of a request to a language-model provider.
You are responsible for having the right to connect each system you connect, and for the content you put into the platform.
9. Marketplace extensions
Some extensions are built by Imperal and some by third-party developers. We review what is published, but a third-party extension is the work of its developer: installing one is your decision, and the permissions you grant it are yours to grant. Where an extension connects a third-party service, that provider’s own terms continue to apply to your use of it.
We may remove or suspend an extension from the marketplace, for a security problem, a breach of these terms, or a broken integration without notice where the risk warrants it.
10. If you publish an extension
- You keep ownership of your code, and you are responsible for what it does.
- You must hold the rights to everything you publish, and must declare accurately what your extension does and what it charges.
- Your extension must not collect more from a user than it needs, and must not misuse the access a user grants it.
- We may review, suspend or delist an extension that breaks these terms or puts users at risk.
- Earnings are calculated from metered usage of your extension and paid out through the developer payout process, less the platform's share as published in the developer documentation.
11. Availability and support
We work to keep Imperal available and quick, and we run the platform on infrastructure we operate ourselves. We do not offer a contractual uptime guarantee on self-serve plans, and we would rather say so than publish a number we cannot stand behind. Maintenance, third-party outages and incidents can interrupt the service.

12. Intellectual property
Imperal, Webbee, the panel, and the platform’s software and design remain ours. These terms grant you a limited, non-exclusive, non-transferable right to use the service while this agreement is in force, and nothing more.
ICNLI is an open protocol, published separately under its own licence at icnli.org. Nothing here restricts your rights under that licence.
13. Disclaimers
The service is provided as it is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In particular, we do not warrant that the output of a language model will be accurate or complete, or that an agent will always choose the action you had in mind. That is why prices are shown up front, significant actions ask for confirmation, and everything is logged.
14. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data arising from this agreement.
Our total liability for any claim relating to the service is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.
15. Suspension and termination
You may stop using Imperal and close your account at any time. We may suspend or terminate an account for a material breach of these terms, for non-payment, or where the law requires it, with notice where circumstances allow, and immediately where they do not.
On termination your right to use the service ends. Data is handled as set out in the Privacy Policy, and any amount already due remains payable.
16. Changes to the service and these terms
The platform evolves: features are added, and occasionally removed. We will not remove something you depend on without notice where we can reasonably give it.
We may update these terms. The effective date at the top of the page always reflects the current version, and for material changes we will notify account holders. Continuing to use the service after a change takes effect means you accept the updated terms.
17. Governing law
This agreement is governed by the laws applicable at Imperal, Inc.’s place of incorporation, without regard to conflict-of-law rules, and the courts there have jurisdiction over disputes arising from it. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence.
